1. Who we are

Superagent Pte. Ltd. is a company registered in Singapore (UEN: 202425807N), with our office at 68 Circular Road, #02-01, Singapore 049422.

2. What we do

Superagent is an AI-enabled real estate technology platform. We help tenants find and rent properties, and we help landlords market and manage theirs. The Service includes property listings and search, AI-powered matching, price estimates, document processing, a chat assistant, and tools that connect tenants, landlords, agents, and investors.

Technology platform, not a licensed broker (in most places).

In jurisdictions where real estate brokerage requires a licence (such as Singapore, the United States, and many others), Superagent operates as a technology platform and not as a licensed broker. Any licensed brokerage services in those jurisdictions are provided by independent, licensed professionals using our platform under separate agreement.

Thailand exception.

In Thailand, where real estate brokerage does not require a licence, we may act as a broker, agent, or salesperson directly.

3. Eligibility

To use the Service, you must be of legal age to enter a binding contract in your jurisdiction (usually 18, sometimes 21). You are responsible for meeting the legal requirements where you live.

4. Your account

You may need to create an account or share contact details to use parts of the Service. You agree to:

• Give accurate and up-to-date information
• Keep your login details secure
• Tell us right away if you suspect unauthorised use of your account

You are responsible for activity that happens through your account or contact details.

5. Property listings

We list properties from landlords, agents, and other sources. We work hard to keep listings accurate, but we do not guarantee that:

• A property is still available
• Prices, photos, descriptions, or terms are fully up to date
• A property meets your specific needs

Always confirm details directly with the landlord before signing a lease or paying any money.

6. AI features

Parts of the Service use AI to match properties, estimate prices, analyse photos and documents, and answer your questions.

You acknowledge that:

• AI outputs (recommendations, valuations, analyses) are estimates based on available data
• AI can contain errors, omissions, or limitations
• AI should not be the sole basis for any real estate, legal, or financial decision
• You should consult qualified professionals (agents, lawyers, valuers) before making important decisions

We use third-party AI providers as described in our Privacy Policy. By using the Service, you consent to that processing.

7. Your content

You keep ownership of any content you submit (messages, documents, listings, photos). You give us a worldwide, non-exclusive, royalty-free licence to use, copy, store, modify, translate, display, and distribute that content for the purpose of providing and improving the Service.

You confirm that:

• You own or have the rights to share the content
• Your content does not break any third-party rights
• Your content is accurate and not misleading

8. Acceptable use

When using the Service, you agree not to:

• Break any law or regulation
• Post false, misleading, or fraudulent information
• Impersonate anyone else
• Try to hack, disrupt, or overload the Service
• Use bots, scrapers, or automated systems without our written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove copyright, trademark, or other notices
• Use the Service to harass, abuse, or harm others

We may suspend or end your access if you break these rules.

9. Intellectual property

The Service, including all content, features, software, and AI models, is owned by Superagent and protected by Singapore and international intellectual property laws. "Superagent" and our logos are our trademarks; you may not use them without our written permission.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal or business use under these Terms.

AI outputs.

Content generated by our AI features (recommendations, valuations, analyses) is owned by Superagent. You get a limited licence to use it for your own personal or business use in connection with the Service. You may not republish or commercially exploit AI outputs without our written permission.

10. Fees and payments

Our service to tenants is free unless we tell you otherwise in writing. Landlords and property owners may pay us a commission or service fee under a separate agreement. Fees, refund terms, and payment processing will be clearly disclosed before you incur any charges.

Any rent, deposit, or fee paid to a landlord is governed by your lease agreement with that landlord, not by us. If we ever collect a payment on behalf of a landlord, we will tell you in writing and explain the terms.

11. Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you agree to that Policy.

12. Third-party links and services

The Service may link to third-party websites or services (e.g. WhatsApp, LINE, payment providers, map services). We are not responsible for their content or practices. Your dealings with them are between you and them.

13. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent allowed by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

We do not guarantee that:

• You will find a property matching your criteria
• Listed properties will be available
• Transactions will complete successfully
• The Service will be uninterrupted, error-free, or secure

14. Limitation of liability

To the fullest extent allowed by law, Superagent and its affiliates, officers, directors, employees, agents, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost goodwill, or business interruption, arising from:

• Your use of or inability to use the Service
• Any errors or omissions in the Service or AI outputs
• Any unauthorised access to your data
• Any disputes between you and a landlord, agent, or other third party

Our total liability for any claim related to the Service is limited to the greater of S$1,000 or the amount you paid us in the 12 months before the claim.

Some jurisdictions do not allow these limits. In those places, our liability is limited to the maximum allowed by law.

15. Indemnity

You agree to indemnify, defend, and hold harmless Superagent and its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, your content, or your misuse of the Service.

16. Termination

You may stop using the Service at any time. We may suspend or end your access immediately and without notice if you breach these Terms, engage in fraud or harm, violate third-party rights, are inactive for 2 years or more, or if we are required to by law. We may also end your access for any other reason on 30 days' notice.

Upon termination, your right to use the Service stops, you may request a data export within 30 days, and provisions that should survive termination (ownership, disclaimers, indemnity, liability limits, dispute resolution) will continue to apply.

17. Changes to the Service or Terms

We may change the Service or these Terms at any time. For material changes, we will update the "Last updated" date and give notice on the website or by email. Continuing to use the Service after changes means you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules.

For any dispute arising from these Terms or the Service:

1. Negotiation first. Both sides will try to resolve the dispute through good-faith discussion for 30 days.
2. Mediation. If unresolved, the dispute will go to mediation in Singapore under the Singapore Mediation Centre (SMC).
3. Arbitration. If mediation does not resolve the dispute within 60 days, it will be finally resolved by arbitration in Singapore under the SIAC Arbitration Rules, with one arbitrator, in English.

Either side may seek injunctive relief in the Singapore courts at any time to protect intellectual property or prevent irreparable harm.

Consumers in Thailand.

If you are a consumer (an individual using the Service for personal, non-business purposes) ordinarily resident in Thailand, nothing in this section removes any rights or protections you have under mandatory Thai consumer protection law. You may also bring proceedings in the Thai courts where required by law, and Thai law will apply to the extent it provides protection that cannot be waived.

Other consumers.

If you are a consumer ordinarily resident in any other jurisdiction with mandatory consumer protections, the same principle applies: nothing in these Terms removes rights you cannot waive under your local law.

19. Prohibited jurisdictions

You may not use the Service if you are located in, or a resident or national of, any country or region subject to comprehensive sanctions by the UN, US, EU, or Singapore (currently including, without limitation, North Korea, Iran, Syria, Cuba, and the Crimea region of Ukraine), or where providing the Service would break applicable laws.

We may restrict access from any jurisdiction at any time without notice.

20. General

• Entire agreement. These Terms, together with our Privacy Policy and any other notices on the Service, are the entire agreement between you and Superagent.
• Severability. If any part of these Terms is unenforceable, the rest stays in force.
• Waiver. Our failure to enforce a right is not a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign them freely.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, cyberattacks, internet outages, or third-party service or AI provider outages.
